Please read these Terms of Service carefully before using our services. By engaging Oplueas Web Services, you agree to be bound by these terms.
1. Services
Oplueas Web Services ("we," "us," "our") provides web development services including School Management Systems, Invoice & Receipt Systems, and Custom Web Applications. All services are provided on a project basis as agreed in individual written proposals. Services are rendered remotely unless otherwise agreed.
2. Project Engagement
All projects begin with a signed proposal or written agreement via email. The scope of work, timeline, and pricing stated in the proposal are binding. Any changes to scope must be agreed in writing and may result in revised pricing or timeline.
3. Payment Terms
Standard payment terms require 50% of the project fee as a deposit before work begins, with the remaining 50% due upon project completion and client approval. We accept bank transfers, Paystack, and Opay. All fees are in Nigerian Naira (NGN) unless otherwise stated. Failure to make payment may result in suspension of work or withdrawal of delivered files until payment is received.
4. Intellectual Property & Code Ownership
Upon receipt of final payment, the client owns the custom code and design we create for their specific project. We retain the right to use general methodologies, frameworks, and non-proprietary code. We may reference your project in our portfolio unless you request otherwise in writing. Third-party libraries and frameworks (Laravel, Tailwind CSS, etc.) remain under their respective open-source licenses.
5. Revisions & Changes
Each project includes up to 3 rounds of major revisions within the agreed scope. Revisions that significantly change the original scope may be quoted and billed separately. Revision requests must be submitted within 7 days of delivery. After this period, changes may be considered a new project or support request.
6. Post-Launch Support
All projects include 30 days of complimentary support after launch, covering bug fixes related to our work. This does not cover issues caused by client-side changes, hosting problems outside our control, or feature additions. After 30 days, support is available under our annual maintenance plan.
7. Client Responsibilities
Clients are responsible for providing accurate information, timely feedback, and content required for project completion. Delays caused by the client may extend the project timeline without penalty to us. Clients are responsible for maintaining their own hosting, domain renewals, and backups after handover unless on a maintenance plan.
8. Confidentiality
We treat all client information as confidential and do not share it with third parties without permission, except as required by law. We do not sell client data. Clients agree to keep the terms of individual project proposals confidential.
9. Limitation of Liability
Our liability is limited to the total project fee paid. We are not liable for indirect, incidental, or consequential damages arising from use or inability to use our deliverables. We do not guarantee specific business outcomes from our services.
10. Governing Law
These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Edo State, Nigeria, or through mutual written agreement to arbitration.
